Gems Business, Advertising and Data Terms

These Business, Advertising and Data Terms (the Business Terms) apply in addition to the Gems Terms of Service when a Business or other organisation (you) uses any business feature of Gems, buys a Paid Feature, advertises or sponsors content on Gems, or receives statistics or data from SVG Gems (we, us or our). Words defined in the Terms of Service have the same meaning here.

If there is a conflict, the following order of precedence applies: (1) any order form, proposal or agreement signed or accepted by both parties (an Order); (2) these Business Terms; (3) the Terms of Service.

By using a business feature, accepting an Order or paying for a Paid Feature, you accept these Business Terms and confirm that you are authorised to bind your organisation.

1. Business listings and verification

1.1 Claiming a listing. You may ask to be recognised as the owner or authorised representative of a place, venue or event listed on Gems. We may ask for reasonable evidence of your authority, such as business registration documents, licences or proof of control of the business's official contact details. We may decline or withdraw recognition at our discretion.

1.2 No exclusive control. Recognition allows you to help keep your listing accurate. It does not give you ownership of the listing, the Map Data or Member Content about your business, or the right to remove or edit Member posts, photos, check-ins or opinions.

1.3 Accuracy and legality. You are responsible for ensuring that information you provide about your business, including its name, location, opening times, prices, offers, menus, facilities, accessibility and safety information, is accurate, complete, lawful and kept up to date. You confirm that your business holds every licence, permit and insurance required by law for its activities.

1.4 Member opinions. Members may post honest opinions, first-hand experiences and photographs of your business, including negative ones. You may respond politely and factually, and you may report Content you believe breaches the Community Guidelines. You must not threaten, harass or seek to identify Members because of their Content, or offer anything of value to have Content changed or removed.

1.5 No paid influence on organic results. You must not pay for, or offer incentives for, confirmations, check-ins, posts, likes or reviews. The order and prominence of organic results on Gems is not for sale. Only placements labelled as sponsored or promoted are paid.

2. Paid Features

2.1 Orders. Paid Features, their scope, fees and term are described in the Order or on the page where you buy them. Paid Features may include verified business status, enhanced listings, featured or promoted placements, sponsored events, analytics and other services we offer from time to time.

2.2 Fees and taxes. Fees are stated in Eastern Caribbean dollars unless otherwise specified and are exclusive of value added tax and any other applicable taxes, which you must pay in addition. Invoices are payable within 14 days of the invoice date unless the Order says otherwise.

2.3 Renewal. Subscriptions renew automatically for the same period unless either party gives notice of cancellation before the end of the current period. We will remind you before a renewal of more than one month.

2.4 Price changes. We may change our prices for a renewal period by giving at least 30 days' notice before the renewal.

2.5 Refunds. Fees are non-refundable except where we materially fail to provide a Paid Feature and do not remedy the failure within 14 days of your written notice, in which case we will refund the fees paid for the period affected, or where the law requires otherwise.

2.6 Non-payment. We may suspend Paid Features if any amount is overdue, after giving you notice.

2.7 No guaranteed results. We do not guarantee any number of views, visits, customers, bookings, revenue or other results from any Paid Feature, advertisement or sponsorship.

3. Advertising and sponsored content

3.1 Labelling. All advertising, sponsored and promoted content on Gems will be clearly identified as such. You must not attempt to disguise advertising as Member Content.

3.2 Advertising standards. All advertising and sponsored content you provide must be legal, decent, honest and truthful; must not be misleading, including about price, availability or endorsement; must comply with all applicable laws, including consumer protection, trade description, alcohol and health regulations; and must comply with the Community Guidelines.

3.3 Prohibited advertising. We do not accept advertising for illegal products or services, weapons, ammunition or explosives, illegal drugs, tobacco or vaping products, adult or sexual services, unlicensed gambling, payday or predatory lending, cryptocurrency investments, pyramid or multi-level marketing schemes, unproven health claims, or advertising by or about political parties, candidates, elections or referendums. Advertising for alcohol must not be directed at people under the legal drinking age and must promote responsible consumption.

3.4 Our discretion. We may review, reject, remove, pause or require changes to any advertising or sponsored content at any time, including for reasons of quality, safety, user experience or reputation. Our acceptance of advertising is not an endorsement of the advertiser or its products.

3.5 Sponsorship by public bodies and partners. Sponsorship or partnership with a government ministry, statutory body or other organisation does not give that organisation any control over Member Content, moderation decisions or the editorial content of Gems, other than the sponsored content itself.

3.6 Your materials. You grant SVG Gems a worldwide, non-exclusive, royalty-free licence to use, reproduce, adapt, display and distribute the names, logos, images, text and other materials you provide (Your Materials) for the purpose of providing the Paid Features and advertising you have ordered and, unless you tell us otherwise in writing, for identifying you as a Gems business customer or partner. You confirm that you own or have the right to license Your Materials, and that their use as permitted will not infringe anyone's rights.

4. Data and insights

4.1 Aggregated and de-identified only. Any statistics, reports, dashboards, datasets or insights we provide to you (the Data Products) contain only aggregated or de-identified information. We do not sell or license personal data.

4.2 Aggregation. We combine information so that individuals cannot reasonably be identified, including by not reporting figures for very small groups of people.

4.3 Your obligations. You may use Data Products only for the purpose stated in the Order or, if none is stated, for your internal business planning. You must not:

4.4 Attribution. Where the Order permits you to publish Data Products or information derived from them, you must credit "Source: Gems (svggems.com)".

4.5 Accuracy. Data Products are derived from Member activity and contributions, which may be incomplete, unrepresentative or inaccurate. They are provided "as is", without any warranty of accuracy or fitness for a particular purpose.

4.6 On termination, you must stop using and delete Data Products if the Order requires it.

5. Confidentiality

Each party must keep confidential any non-public information it receives from the other that is marked as confidential or would reasonably be understood to be confidential, including pricing and Data Products, and use it only for the purposes of these Business Terms. This does not apply to information that is or becomes public through no fault of the recipient, was already lawfully known to it, or must be disclosed by law.

7. Disclaimers and limitation of liability

7.1 Gems, Paid Features, advertising placements and Data Products are provided "as is" and "as available", without any warranty, to the fullest extent permitted by law.

7.2 Nothing in these Business Terms limits liability that cannot be limited by law.

7.3 Subject to section 7.2, and to the fullest extent permitted by law, SVG Gems will not be liable to you for any indirect or consequential loss, or for any loss of profit, revenue, business, goodwill, data or anticipated savings, or for any loss arising from Member Content or reviews about your business.

7.4 Subject to section 7.2, SVG Gems's total aggregate liability to you arising out of or in connection with these Business Terms and any Order, in any twelve-month period, is limited to the fees you paid to SVG Gems under the Order concerned in that period.

8. Indemnity

You agree to indemnify, defend and hold harmless SVG Gems and its owners, directors, officers, employees, volunteers, agents and service providers from and against all claims, liabilities, losses, damages, fines, costs and expenses (including reasonable legal fees) arising out of or relating to Your Materials, your advertising or sponsored content, your products, services, premises and events, your use of Data Products, or your breach of these Business Terms or of any law.

9. Term and termination

9.1 These Business Terms apply for as long as you use any business feature, Paid Feature, advertising placement or Data Product.

9.2 Either party may terminate an Order by written notice if the other materially breaches these Business Terms and does not remedy the breach within 14 days of notice. We may suspend or terminate any business feature immediately if your use breaches the law or the Community Guidelines or exposes SVG Gems or others to risk.

9.3 Sections 3.6 (for materials already published), 4.3 to 4.6, 5, 7, 8 and 10 survive termination.

10. General

These Business Terms are governed by the laws of St Vincent and the Grenadines, and the courts of St Vincent and the Grenadines have exclusive jurisdiction over any dispute arising from them. Section 26 (General) of the Terms of Service applies to these Business Terms. We may update these Business Terms by giving at least 30 days' notice; changes do not apply to an Order already in force until it renews, unless required by law.
